Terms & Conditions
Please read these terms carefully before using SunLedger.
1. Agreement
These Terms & Conditions ("Terms") are an agreement between SunLedger ("SunLedger", "we", "us", "our") and the business or person using SunLedger ("Customer", "you"). They apply to our website at sunledger.in, the SunLedger admin web panel and the SunLedger mobile app (together, the "Service"). By creating an account, paying for a subscription, or using the Service, you agree to these Terms, our Privacy Policy, our Subscription & Billing Policy and our Cancellation & Refund Policy. If you do not agree, do not use the Service.
This document is an electronic record under the Information Technology Act, 2000 and does not need a physical or digital signature.
2. Definitions
- Customer account: the company workspace created for a Customer in SunLedger.
- Administrator: a person the Customer authorises to manage its account, users and data.
- App user: an individual (such as an installer, channel partner or staff member) given a login under the Customer account.
- Customer Data: all information entered or uploaded into the Service by or for the Customer, including project, inventory, payment and end-customer details, photos and documents.
- Subscription: the paid right to use the Service for a period, as described in the Subscription & Billing Policy.
3. Accounts and eligibility
- The Service is for business use. You must be at least 18 years old and able to enter into a binding contract under Indian law.
- If you accept these Terms for a company or firm, you confirm you have the authority to bind it.
- You must give accurate details and keep them up to date.
- You are responsible for all activity under your Customer account, for the people you give access to, and for keeping passwords secret. Tell us immediately if you suspect unauthorised access.
- Administrators can create, edit, block and remove app users. You are responsible for removing access for people who leave your business.
4. The service
SunLedger provides cloud software for solar businesses, including project management, inventory, purchase, goods receipt, dispatch, customer payments, payouts, document PDFs and notifications. We may improve, change or add features over time. If we remove a major feature you rely on, we will tell you in advance where reasonably possible.
We grant you a non-exclusive, non-transferable right, during your paid Subscription, to use the Service for your internal business purposes, in line with these Terms.
5. Fees, users and billing
Fees, included users, additional users, invoices, taxes, renewal and suspension for non-payment are set out in the Subscription & Billing Policy, which forms part of these Terms. Cancellations and refunds are covered by the Cancellation & Refund Policy. You must not exceed the number of app users you have paid for, or share one login between several people.
6. Acceptable use
You agree not to:
- use the Service for anything unlawful, fraudulent or misleading, including false GST invoices or records;
- upload content that is illegal, infringes anyone's rights, or contains viruses or harmful code;
- enter personal data about anyone without a lawful basis to do so;
- try to access other customers' data, probe or break our security, or disrupt the Service;
- copy, resell, rent or sub-license the Service, or reverse engineer it except where the law allows;
- use automated tools to scrape or overload the Service.
7. Your data
- You own your Customer Data. You give us permission to host, store, process, back up and display it only to provide, secure and support the Service for you.
- For personal data inside Customer Data (for example, your end customers' names and phone numbers), you decide why and how it is processed, and we process it on your behalf. You are responsible for having a lawful basis for it and for giving any notices or obtaining any consents the law requires, including under the Digital Personal Data Protection Act, 2023.
- You are responsible for the accuracy of the data you enter, including tax rates, amounts and GST details.
- We handle personal data as described in our Privacy Policy. We never sell Customer Data.
- We may use anonymised, aggregated information that does not identify you or any person to operate and improve the Service.
8. Third-party services
The Service relies on third parties such as our hosting provider, Google Firebase for push notifications, and app stores for distributing the mobile app. Their services are subject to their own terms. We are not responsible for outages or changes caused by third parties, but we will work to limit their effect on you.
9. Availability and support
- We work to keep the Service available at all times, but we do not guarantee it will be uninterrupted or error-free. Planned maintenance will be done at quiet times where possible.
- Support is available by phone, WhatsApp and email at the contact details below.
- You should keep your own copies of important documents, such as exported PDFs and invoices.
10. Intellectual property
The Service, its software, design, logos and the SunLedger name belong to us or our licensors and are protected by law. These Terms do not give you any ownership of them. If you send us suggestions, we may use them freely without any obligation to you.
11. Confidentiality
Each party will keep the other's non-public business information confidential and use it only for the purposes of this agreement, except where disclosure is required by law. This does not apply to information that is already public or was lawfully known without restriction.
12. Suspension and termination
- You may stop using the Service and cancel at any time, as described in the Cancellation & Refund Policy.
- We may suspend or end your access, with notice where reasonably possible, if you do not pay fees when due, break these Terms, or if we must do so by law or to protect the Service or other users.
- When your Subscription ends, your right to use the Service stops. You may request an export of your Customer Data within 30 days of the end date. After that, we delete it as described in our Privacy Policy, except where the law requires us to keep it.
- Sections that by their nature should continue (for example, fees owed, intellectual property, disclaimers, limitation of liability, indemnity and governing law) survive termination.
13. Disclaimers
- The Service is provided "as is" and "as available". To the extent the law allows, we disclaim all implied warranties, including fitness for a particular purpose.
- SunLedger is a record-keeping and management tool. It does not give tax, accounting, legal or engineering advice. You remain responsible for your tax filings, statutory compliance, and the design and safety of your solar installations.
14. Limitation of liability
- To the extent the law allows, neither party is liable for any indirect, incidental, special or consequential loss, or for loss of profits, revenue, business or goodwill.
- Our total liability for all claims relating to the Service in any 12-month period is limited to the fees you paid us for the Service in those 12 months.
- These limits do not apply to liability that cannot be limited by law, or to your obligation to pay fees.
15. Indemnity
You agree to compensate us for losses, claims and reasonable costs arising from your breach of these Terms, your unlawful use of the Service, or Customer Data you upload in breach of these Terms or the law.
16. Force majeure
Neither party is responsible for delays or failures caused by events beyond its reasonable control, such as natural disasters, epidemics, government action, war, strikes, power or internet failures, or failures of third-party hosting providers. This does not excuse payment obligations.
17. Governing law and disputes
These Terms are governed by the laws of India. We will first try to resolve any dispute through good-faith discussion within 30 days of written notice. If it is not resolved, the courts at the place where SunLedger has its principal place of business in India will have exclusive jurisdiction.
18. Changes and general terms
- We may update these Terms. We will post the new version here with a new "Last updated" date and tell you about important changes before they apply. If you keep using the Service after that, you accept the updated Terms.
- You may not transfer your account to someone else without our written consent. We may transfer our rights and obligations as part of a merger, acquisition or sale of the business, with notice to you.
- If any part of these Terms is found unenforceable, the rest stays in effect. Not enforcing a right does not mean we have waived it.
- These Terms and the policies they refer to are the entire agreement about the Service, unless we sign a separate written agreement with you.
